Terms & End User License Agreement

This End User License Agreement (the "Agreement") is between you (an individual or the organization you represent) and Waldo GIS LLC, a Virginia limited liability company ("Waldo GIS," "we," "us"), and governs your use of the Waldo for ArcGIS Pro software add-in, including updates and accompanying documentation (the "Software"). By installing or using the Software you agree to this Agreement. If you do not agree, do not install or use the Software.

1. License grant

Subject to this Agreement and, for paid features, payment of the applicable one-time license fee, Waldo GIS grants you a personal, non-exclusive, non-transferable, perpetual license to install and use the Software on the number of devices permitted by your license type ("per-seat"), solely for your own internal use with a validly licensed installation of ArcGIS Pro.

• Free features. Read-only "Ask mode" functionality is licensed at no charge and may be used without a purchased license key.
• Trial. Full functionality is licensed for a limited evaluation period beginning at first use, after which paid features require a license key.
• Paid license. A purchased license key unlocks full functionality for the licensed number of seats. License keys may be moved between machines using the self-service deactivation tools provided.

2. Restrictions

Except where applicable law expressly permits, you may not:

• copy (other than for reasonable backup), redistribute, sell, rent, lease, sublicense, or host the Software for third parties;
• reverse engineer, decompile, or disassemble the Software, or circumvent its license validation;
• remove or alter proprietary notices; or
• use the Software to develop a competing product.

3. Your responsibilities

• ArcGIS Pro. The Software requires ArcGIS Pro, which is licensed separately by Esri under Esri's own terms. Waldo GIS is not affiliated with Esri, and this Agreement grants no rights to any Esri product.
• AI providers. The Software connects to the AI model provider(s) that you configure (for example an Anthropic or OpenAI API key, or a locally hosted model). Your use of any AI provider is governed by that provider's terms, and you are responsible for the associated fees and for the appropriateness of any data you permit the Software to send to your chosen provider.
• Professional judgment. The Software is an assistant, not a substitute for professional judgment. You are responsible for reviewing and validating all outputs — analyses, maps, data edits, and exports — before relying on them.
• Backups. You are responsible for maintaining backups of your projects and data.

4. Ownership

The Software is licensed, not sold. Waldo GIS and its licensors retain all rights, title, and interest in the Software. Your project data, your maps, and the outputs you produce with the Software are yours.

5. Privacy

The Software runs on your desktop and does not route your project data through any Waldo GIS server. How the Software handles data, including its limited license validation calls, is described in the Privacy Policy, which is incorporated into this Agreement.

6. Updates

Waldo GIS may provide updates at its discretion. Unless stated otherwise at purchase, a paid license includes updates within the purchased major version. Updates may be required for continued compatibility with new ArcGIS Pro releases; compatibility with future third-party software is not guaranteed.

7. Term and termination

This Agreement is effective until terminated. It terminates automatically if you materially breach it. Upon termination you must cease using and uninstall the Software. Sections 2, 4, 5, and 8–11 survive termination.

8. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALDO GIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE OR AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR ERROR-FREE. AI MODELS CAN PRODUCE INCORRECT RESULTS; YOU USE OUTPUTS AT YOUR OWN RISK.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALDO GIS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS, ARISING FROM OR RELATED TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY. WALDO GIS'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM (OR US $50 IF YOU PAID NOTHING). Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

10. Purchases and refunds

Paid licenses are sold through our merchant-of-record payment partner, whose checkout terms govern billing, taxes, and refund processing. Refund questions can also be sent to hello@waldogis.com.

11. General

This Agreement is governed by the laws of the Commonwealth of Virginia, USA, excluding its conflict-of-laws rules, and any dispute will be brought in the state or federal courts located in Virginia. If any provision is unenforceable, the rest remains in effect. This Agreement is the entire agreement regarding the Software and supersedes prior discussions. We may update this Agreement for future versions of the Software; the version accompanying your download applies to your use.
